General Terms and Conditions
1. Introductory provisions
These General Terms and Conditions (hereinafter referred to as the "GTC") govern the contractual relationship between Let IT Bee, s.r.o. (hereinafter referred to as the "Provider") and the customer (hereinafter referred to as the "Customer") in connection with the provision of VPS hosting services and related services under the Exascale.cz brand (hereinafter referred to as the "Service"). An integral part of the GTC are Acceptable Use Policy (AUP) a Data Processing Principles.
2. Signing of the contract
- The contract is formed upon completion of the order in the customer portal and its confirmation by the Provider, or alternatively by crediting the payment.
- When placing an order, the customer provides truthful and complete information and agrees to the Terms of Service and Acceptable Use Policy.
- The provider may refuse an order, particularly in cases of reasonable suspicion of misuse of the Service.
3. Scope of Service
Service parameters (performance, storage, data transfer, number of IP addresses) are listed for individual tariffs. The provider supplies the Customer with a virtual server featuring the agreed parameters and access to a customer portal for its management.
4. Price and payment terms
- Prices are listed in the tariffs; unless stated otherwise, they exclude VAT, which is added according to current regulations.
- The service is provided on a subscription basis for the selected billing period (usually monthly).
- The tax document is issued electronically and made available in the customer portal.
- In case of payment delay, the Provider may suspend the Service and, following a further notice, terminate it.
5. Duration and termination
- The contract is concluded for an indefinite period unless otherwise agreed and automatically extends to the next billing period unless terminated.
- The customer may terminate the Service at the end of the paid period without giving a reason (by cancelling renewal in the portal).
- The provider may terminate the contract in case of a breach of VOP or AUP; in case of a serious breach, termination may be immediate.
6. Availability and SLA
- The provider endeavours to ensure the availability of the Service. 99.9% monthly, excluding scheduled maintenance and circumstances beyond its control.
- The Provider notifies in advance of scheduled maintenance, if possible.
- In the event of proven failure to maintain guaranteed availability, the Customer is entitled to a credit based on the extent of the outage; this credit constitutes the sole remedy for unavailability.
7. Deposits and Data Liability
- The provider makes advances within the scope specified in the tariff; these advances are intended for infrastructure renewal and do not replace the Customer's own advances.
- The Customer is responsible for data stored on the VPS and its backup.
8. Liability for damage
The Provider is liable for damage caused by breach of its obligations; total compensation is limited to the price of the Service paid by the Customer in the last 6 months. The Provider is not liable for lost profits, loss of data not caused by it, or damage caused by the actions of the Customer or third parties.
9. Claims
Defects The Customer reports defects via support without undue delay. The Provider resolves the complaint within a reasonable time and informs the Customer of the outcome.
10. Consumer withdrawal
If the Customer is a consumer, they have the right to withdraw from the contract within 14 days. For services whose provision was commenced at the express request of the Customer before this period has expired, the Customer acknowledges that they may lose the right to withdraw or will pay a proportionate part of the price for the performance actually provided.
11. Protection of Personal Data
Processing of personal data is governed by Personal Data Processing Principles in accordance with the GDPR regulation.
12. Final Provisions
- The relationship is governed by the legal system of the Czech Republic.
- The provider may amend the Terms of Service; it will notify in advance of any material changes. In such cases, the customer has the right to terminate the Service.
- Any disputes shall be attempted to be resolved amicably by the parties; the Czech Trade Inspection Authority (coi.cz) is competent for out-of-court resolution of consumer disputes.
